		<description>Looking at the default playbook terms, it is written for mutual sales related NDAs.  That being said, as Ken indicated, you can create playbooks for other situations as well – whether you are the receiving or disclosing party.  The tool also allows you to insert clauses which you need in an NDA but which Baseline is not currently programmed to look for.  So if you need a clause to address personally identifiable information or protected health information if HIPAA related, then you can insert that clause as a default in each NDA. I agree that the tool is not for everyone.  Companies or legal departments that are high volume reviewers of NDAs and are concerned with consistent application of terms and knowledge management are probably the most likely to benefit from it.  Though I can see solo’s who want a cheap “associate” initially reviewing NDAs that need to be turned around quickly.  I agree with you though, if you can do an NDA in 15 minutes and don’t worry about missing anything, then this is probably not for you, unless of course you have to review more than four per hour!

First, I don&#039;t agree that there is some Platonic form of NDA.  Does the application give a different markup if I&#039;m the discloser or the recipient?  If the materials are trade secrets or personally identifiable information?

Second, I&#039;ve done so many NDAs that I can just read through them and do a markup in 15 minutes with far more accuracy than any application can give.  But maybe I&#039;m not the target market.</description>
